This policy applies to all users of the Acquiso platform, including buyers, sellers, lenders, equipment suppliers, and visitors.

1. Information We Collect

1.1 Information you provide to us directly

When registering and using the account:

We collect your first and last name, company name, your email address, your phone number, the company's physical address, as well as your login information (username and password).

When posting ads (suppliers):

We collect equipment descriptions and specifications, photos and documents related to the equipment, prices and sales conditions, as well as maintenance history and technical documentation.

When requesting financing:

We collect your full name and date of birth, financial information (income, assets, liabilities) and your credit history.

When using additional services:

We may collect information related to transport (delivery addresses), insurance information, and your service preferences.

1.2 Automatically collected information

Navigation Data:

When you use our platform, we automatically collect your IP address, browser type and version, operating system, the pages you visit and the duration of your visits, the links you click on, the referrer (site from which you came), as well as the date and time of your visits.

Technical Data:

We collect device identifiers, approximate location data (based on the IP address), and your language preferences.

Cookies and Similar Technologies:

We use cookies to enhance your experience (see section 8).

1.3 Information from third parties

TransUnion:

We receive your credit report and credit score, your payment history, your creditworthiness information, as well as identity verification.

Financial Partners:

Our partners provide us with pre-approval confirmations and the financing terms offered.

Service Providers:

We receive transport confirmations, inspection results, and insurance information when you use these services.

2. How We Use Your Information

2.1 Supply and enhancement of our services

2.2 Processing of financing requests

  • Financing-specific Process:

    When you submit a financing application, we use your information to:

    1. Initial Assessment via TransUnion:

      • Conduct a "soft hit" credit check

      • This check DOES NOT AFFECT your credit score

      • Acquiso Inc. will appear on your credit report as an inquiry

      • Evaluate your creditworthiness based on lender criteria

    2. Referral to Our Financial Partners:

      • Forward your complete file to the appropriate lender account manager

      • Facilitate communication between you and the lender

      • Monitor the progress of your application

    3. Process Coordination:

      • Keep you informed of progress

      • Facilitate the collection of additional documents if necessary

      • Coordinate the finalization of the financing

    Important: The final decision of financing approval is exclusively up to the lender. Acquiso acts as a facilitator, similar to a dealership.

2.3 Communications

  • Send you confirmations and updates about your transactions

  • Inform you about changes to our services or policies

  • Send you marketing communications (with your consent)

2.4 Safety and Compliance

2.5 Analysis and Statistics

We analyze platform usage using anonymized data to understand market trends, improve our services, develop new features, and generate internal reports based on aggregated and anonymized data.

3. How We Share Your Information

Acquiso never sells your personal information. We share your information only under the circumstances described below.

3.1 With your consent

We share your information when you explicitly authorize us to do so. For example, during a financing request, you expressly consent to the sharing of your information with TransUnion and our lending partners.

3.2 Financing Partners

As part of processing your financing request, we share all the information from your application, including the credit report obtained via TransUnion and any financial documentation you have provided, with our financial partners. We are currently working with several lenders specializing in heavy equipment financing, each with its own privacy policies. This sharing is necessary to allow the evaluation and processing of your financing request.

3.3 Third-party service providers

We share certain information with our service providers who help us operate the platform. This includes TransUnion of Canada for credit verification services, technical service providers for web hosting, data storage, analytics services (such as Google Analytics), and communication tools (email, SMS), as well as related service providers like transportation companies, equipment inspectors, and insurers.

All our service providers are contractually required to protect your information and can only use it for the specific purposes for which we share it with them.

3.4 Between platform users

Certain information is made publicly visible on our platform, including equipment listings (including photos, descriptions, and prices), the seller's company name and, if you choose to display them, your contact details. When a transaction is in progress, we share the relevant contact information between the interested buyer and seller, along with the details necessary for completing the transaction.

3.5 Legal Compliance

We may disclose your information if required by law, regulation, or court order, if necessary to protect our legal rights, to prevent fraud or illegal activity, or to protect the safety of our users.

3.6 Business Transfer

In the event of a merger, acquisition, asset sale, or bankruptcy procedure involving Acquiso, your personal information may be transferred to the successor entity as part of the transaction.

4. Credit Check and TransUnion

4.1 Consent to Credit Verification

By submitting a financing request on the Acquiso platform, you expressly consent to Acquiso Inc. obtaining your credit report and credit score from TransUnion Canada, using an Instant Bank Verification (IBV) module, performing a "soft hit" inquiry that does not affect your credit score, and appearing on your credit report as an entity that has accessed your file.

You also consent to TransUnion Canada providing Acquiso with your credit information and processing your personal data according to its own privacy policy.

4.2 Type of verification - "Soft Hit"

A 'soft hit' is a gentle consultation of your credit carried out for pre-qualification purposes. This type of check does not affect your credit score and is only visible to you on your own report. It allows us to assess your eligibility for financing without negatively impacting your credit file.

This approach differs from a 'hard hit' (firm consultation) which does affect your credit score and occurs during a formal credit application. Acquiso does not perform a 'hard hit' during the initial assessment. However, if you proceed with a formal application with a lender, they may carry out a 'hard hit' according to their own procedures.

4.3 Instant Bank Verification (IBV) - when applicable

The IBV module is currently not operational. It allows us, with your explicit consent, to obtain verified banking information, including account balances, transaction history (for assessing your cash flow), and identity verification. This information is obtained through a secure and encrypted connection to ensure the protection of your data.

4.4 Credit Information Storage

The credit information we obtain is retained for the duration of the processing of your financing application. If your application is approved, this information is kept in accordance with applicable legal requirements. In the event your application is declined, the credit information is retained according to our general retention policy described in section 6.

5. Security of Your Information

5.1 Technical Safety Measures

We implement various technical security measures to protect your information. All sensitive data transmissions are protected by SSL/TLS connections, and we apply data encryption both during transmission and at rest (when they are stored on our servers). Your passwords are encrypted using secure hashing algorithms in accordance with the industry's best practices.

In terms of access controls, authentication is required to access user accounts. Access to personal information is strictly limited to authorized personnel, and we maintain logging of all accesses to sensitive data.

Our infrastructure relies on secure servers hosted in certified data centers. We use firewalls and intrusion detection systems, perform regular backups with data redundancy, and continuously apply security updates.

5.2 Organizational Measures

All our staff members undergo mandatory privacy protection training and are subject to strict confidentiality policies. Each employee with access to sensitive data signs non-disclosure agreements. We have also implemented detailed security incident response protocols, conduct regular security audits, and perform periodic risk assessments.

5.3 Your Responsibilities

The security of your account also depends on your own practices. We recommend choosing a strong and unique password, never sharing your login details, logging out after each session (especially on shared devices), and immediately reporting any suspicious activity on your account to us.

5.4 Limitations

While we make all reasonable efforts to protect your information, no system of electronic transmission or storage is 100% secure. Therefore, we cannot guarantee absolute security, but we commit to using commercially reasonable means and industry standards to protect your personal data.

In the event of a data breach that compromises your personal information, we will inform you within the timeframes prescribed by applicable laws and take appropriate measures to mitigate the consequences of this breach.

6. Retaining Your Information

6.1 Retention Period

We retain your information for as long as necessary to fulfill the purposes described in this policy, unless a longer retention period is required or permitted by law.

For active accounts, your information is retained as long as your account remains active on our platform. After your account is closed, we retain certain information in accordance with Canadian tax and legal requirements. Basic information, financial and credit information, as well as transaction history are retained for 7 years. Communications with our customer support are retained for 2 years.

Regarding financing requests, records of approved applications are retained for the duration of the loan plus an additional 7 years, while declined applications are retained for 2 years. Analytical data, once anonymized and aggregated in such a way that no longer allows your identification, may be retained indefinitely.

6.2 Data Deletion

Data is automatically deleted from our systems upon expiration of the retention periods mentioned above. You can also request the deletion of your personal data by contacting us, as described in section 10. However, some information may be retained if required by law or necessary for the exercise or defense of legal rights.

All data deletions are performed securely and permanently, making it impossible to retrieve the deleted information.

7. Data Transfer

7.1 Data Localization

Our main servers are located in Canada. However, some of our service providers may store or process data outside of Canada, notably in the United States. These transfers are conducted in compliance with the requirements of the Personal Information Protection and Electronic Documents Act (PIPEDA).

8. Cookies and Tracking Technologies

8.1 What is a cookie?

A cookie is a small text file stored on your device when you visit our website. Cookies help us enhance your browsing experience, remember your preferences, and understand how our platform is used.

8.2 Types of cookies used

Essential Cookies (required):

9. Marketing and Communications

9.1 Types of Communications

We send two main types of communications. Transactional communications are mandatory and cannot be turned off, as they are essential for the operation of your account. They include account and transaction confirmations, updates on your financing requests, important security notifications, and notices regarding changes to our policies.

Marketing communications are optional and include our newsletters, promotions and special offers, notifications about new equipment matching your interests, as well as updates on our products and features.

9.2 Consent to Marketing

You can choose whether or not to receive our marketing communications. Your consent can be withdrawn at any time without affecting your access to the platform or the receipt of essential transactional communications.

9.3 Unsubscribe

To unsubscribe from our marketing communications, you can click on the 'Unsubscribe' link present in any marketing email, change your preferences in your account settings, or contact us directly. Your request will be processed within a maximum of 10 business days.

10. Your Rights and Choices

In accordance with Canadian privacy laws, including PIPEDA and Bill 25 of Quebec, you have several rights regarding your personal information.

10.1 Right of Access

You have the right to request a copy of all the personal information we hold about you and to obtain details on how your information is used, who it is shared with, and how long it is kept.

10.2 Right of Rectification

You can ask us to correct any inaccurate or incomplete information about you and update your personal information at any time through your account settings or by contacting us directly.

10.3 Right of Removal

You have the right to request the deletion of your personal information, subject to our legal obligations to retain certain data. If we are required by law to keep certain information, we will inform you.

10.4 Right to Object

You can object to certain uses of your information, including refusing direct marketing, opposing the processing of your data for statistical analysis purposes (when based on legitimate interest rather than consent), and withdrawing your consent at any time for processing that depends on it.

10.5 Right to Portability

10.6 Right to Withdraw Consent

For all processing based on your consent (such as marketing communications or the use of non-essential cookies), you can withdraw your consent at any time. Withdrawal of consent does not affect the legality of the processing carried out before this withdrawal.

10.7 How to exercise your rights

To exercise one of these rights, contact us via our platform or website by providing sufficient details to enable us to identify your account and clearly specifying the nature of your request. We will respond to your request within 30 days of receiving it. To protect your information, we may ask you to provide proof of identity before processing your request.

11. Miners

Our platform is designed exclusively for businesses and professionals. We do not knowingly collect personal information from children under the age of 18. If you have reason to believe that we have collected information about a minor, please contact us immediately so we can remove this information from our systems.

12. Amendments to This Policy

12.1 Updates

We may occasionally update this Privacy Policy to reflect changes in our operational practices, new legal or regulatory requirements, or improvements to our services and platform.

12.2 Notification of Changes

For minor changes, we will update the date at the top of this policy and post the revised version on our site. 13. Applicable Laws and Compliance

13.1 PIPEDA

13.2 Law 25 (Quebec)

This services agreement (“Agreement”) constitutes a legal contract between you (“User” or “Member”) and Acquiso Inc. (“Acquiso”, “we”, “our”), concerning the use of the Acquiso platform accessible via our website and our services.

By using our platform, you agree to be bound by all the provisions of this Agreement. If you do not accept these terms, please do not use our services.

1. Description of Services

1.1 Transaction Platform

Acquiso is a technology platform that facilitates heavy equipment transactions in Eastern Canada. We connect buyers with equipment suppliers and related service providers (financing, transport, inspection, insurance, etc.).

1.2 Nature of Our Role

Acquiso acts as a technology intermediary and does not hold any equipment in inventory. We process buyer requests and forward them to appropriate suppliers through a flexible step-by-step process, working together with our partners to support the buyer throughout their acquisition.

1.3 Services Offered

Access to an inventory of heavy equipment from partner suppliers

  • Facilitation of the financing request process

  • Connecting with service providers (transportation, inspection, insurance, etc.)

  • Personalized support in the buying or selling process

2. Acceptance of Terms

By accessing and using the Acquiso platform, whether to post a listing, browse the inventory, submit a financing request, or use any other service, you agree to be bound by these Terms and Conditions and our Privacy Policy.

3. Registration and User Account

3.1 Account Responsibility

You are responsible for keeping your username and password confidential, as well as any activities conducted under your account. You agree to immediately notify Acquiso of any unauthorized use of your account.

3.2 Accuracy of information

You guarantee that all information provided during registration and use of our services is truthful, accurate, and up-to-date. You agree to maintain the accuracy of this information.

4. Posting of Listings

4.1 Publication Conditions

Listings posted on Acquiso must:

  • Concern legitimate heavy equipment

  • Contain truthful and accurate information

  • Comply with applicable laws

  • Not infringe on third-party intellectual property rights

4.2 Duration of publication

Acquiso is committed to keeping your listing active for the agreed duration at the time of your subscription. No refund will be provided if the equipment is sold or if the listing is no longer needed before the end of the planned publication period.

4.3 Right to Refuse and Modify

Acquiso reserves the right, at its sole discretion:

  • To refuse to publish any ad deemed inappropriate

  • To request the modification of an ad before or during its publication

  • To delete any duplicate or non-compliant ad

5. Pricing and Fees

5.1 Pricing structure for suppliers

Equipment suppliers are subject to the following charges:

  • Monthly subscription: refer to the Pricing section on the Sell page

  • Commercial sale commission: 1% of the sale price (applicable only to commercial sales, not to private sales)

  • Referral fees: Fees applicable to service providers (financing, transportation, inspection, insurance, etc.) for referrals generated by the platform

5.2 Service for Buyers

Viewing listings and basic use of the platform are free for buyers.

5.3 Rate Modifications

Acquiso reserves the right to modify its pricing structure at any time. Changes will not affect existing subscriptions.

5.4 Payment

Any amount due to Acquiso must be paid within thirty (30) days following the invoice issuance date. Acquiso may suspend the listing of advertisements in the event of non-payment.

6. Financing Process

6.1 Nature of the financing service

Acquiso simplifies access to financing by assessing applications and forwarding them to our financial partners. We are not a conventional financing brokerage firm and do not perform complete underwriting.

6.2 Credit Assessment and Consent

By submitting a financing application, you agree to the collection and assessment of your personal information, including obtaining your credit score and other relevant details, in accordance with our Privacy Policy. Your file will be forwarded to our selected financial partners for evaluation.

6.3 Financial Partners

Acquiso collaborates with a limited number of partner lenders with whom we maintain direct relationships, similar to those of a dealer.

6.4 No Financing Warranty

The use of our financing facilitation services does not guarantee loan approval. Final financing decisions are the sole responsibility of the partner lenders.

7. Confidentiality and Data Protection

8.3 Members Warranty

By posting content on Acquiso (texts, photos, descriptions), you guarantee that:

  • You have obtained permission from the rights holder

You agree to hold Acquiso harmless against any claims related to the use of content you have provided.

9. Responsibilities and Limitations

9.1 Content of the Listings

Acquiso is not responsible for:

  • The accuracy of information provided in the listings

  • Transactions between buyers and sellers

  • The quality, condition, or legality of the advertised equipment

  • The actions, behavior, or statements of members

9.2 Platform Availability

Acquiso does not guarantee that:

  • The platform will operate without interruption or be free of errors

  • All bugs or anomalies will be corrected

  • The platform will be compatible with all hardware or configurations

9.3 Limitation of Liability

Acquiso will not be responsible in any case for direct, indirect, incidental, special or consequential damages, including but not limited to:

  • Loss of revenue or profits

  • Loss of business opportunities

  • Loss of data

  • Damages resulting from the use or inability to use the platform

9.4 Force Majeure

Acquiso will not be held responsible for delays or failures caused by events beyond its control, including:

  • Computer viruses

  • Hardware or connection failures

  • Problems with data centers

  • Natural disasters or other cases of force majeure

10. Acceptable Use

10.1 Prohibitions

It is strictly prohibited to use the Acquiso platform for:

  • Sending unsolicited mail (spam)

  • Posting false or misleading information

  • Violating the intellectual property rights of third parties

  • Contravening applicable laws

  • Disrupting the operation of the platform

10.2 Penalties

Acquiso reserves the right to suspend or close any account in violation of these terms, at its sole discretion.

11. External Links

11.1 Third-party sites

The Acquiso platform may contain links to external websites not controlled by Acquiso. We are not responsible for:

  • The accuracy or quality of the content of these sites

  • The availability of these sites

11.2 User's Responsibility

12. Search Engine Indexing

The Acquiso pages are optimized to be indexed by search engines. Expired or paused listings indexed by third-party search engines may remain visible for some time, which is beyond the control of Acquiso.

To completely remove a listing, you must delete it. Acquiso is not responsible for the indexing delays of external search engines.

13. Indemnification

You agree to hold Acquiso harmless and defend it against any claim, damage, loss, liability, cost, or expense (including reasonable attorney's fees) arising from:

  • Your use of the platform

  • Your violation of these Terms and Conditions

  • Your violation of third-party rights

  • The content you post on the platform

14. Amendments to the Terms

Acquiso reserves the right to modify these Terms and Conditions at any time. The changes will take effect upon their publication on the platform. Your continued use of the platform after the publication of the changes constitutes your acceptance of these modifications.

15. Termination

15.1 By the user

You can stop using the platform at any time. Closing your account does not exempt you from financial obligations incurred prior to termination.

15.2 By Purchase

Acquiso reserves the right to suspend or terminate your access to the platform at any time, with or without notice, particularly in case of violation of these Terms and Conditions.

17. Entirety of the Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Acquiso regarding the use of our platform and supersede all previous agreements.

18. Applicable Law and Jurisdiction

These Terms and Conditions are governed by the laws of the Province of Quebec and the applicable federal laws of Canada. Any disputes arising from or related to these Terms will be subject to the exclusive jurisdiction of the courts of Quebec.

19. Waiver

The fact that Acquiso does not exercise or enforce a right or provision of these Terms and Conditions does not constitute a waiver of that right or provision.
